  • Resolve shareholder disputes and disputes among founders of technology-oriented companies
  • Obtain or defend against temporary and permanent injunctions
  • Pursue appeals


Art & Entertainment Law

  • Draft publication and distribution agreements, artists contracts, option agreements, agent agreements, multimedia and other licensing agreements, collaboration agreements and interview releases
  • Advise artists and businesses on their copyright and trademark rights
  • Advise artists and businesses on defamation, libel, slander, rights of privacy & publicity, first amendment/freedom of speech
  • Resolve disputes through negotiation and mediation and when necessary, through arbitration and litigation
  • Advise non-profit charitable corporations and their directors on organization, structure and responsibilities


Corporate/Business Law

  • Advise businesses and individuals on corporate structuring and restructuring, including board composition, incorporation, mergers and acquisitions, shareholder and partnership agreements, strategic partnering and joint venture arrangements, franchising, and corporate financing
  • Draft shareholder and partnership agreements
  • Draft business buy/sell agreements
  • Assist in setting up new business entities, including partnerships, limited partnerships, sole proprietorships, corporations, and limited liability companies (LLC’s)
  • Draft, review and interpret business contracts, including consulting and independent contractor agreements, and commercial leases
